The Management Board of Kredyt Inkaso S.A. („Issuer”, „Company”), in reference to the current report No. 22/2021 of 9 June 2021 and No. 24/2021 of 25 June 2021, hereby informs that on 2 July 2021 a meeting of bondholders of F1 series bonds issued by the Issuer („Meeting of Bond Holders”) took place. The Meeting of Bond Holders has adopted resolutions on the amendment of the terms of issue of bonds, with the content indicated in the minutes of the Meeting of Bond Holders, attached as an appendix to this current report.
By way of a separate current report the Management Board of the Company shall provide information on the consent to change the terms and conditions of issue of F1 series bonds issued by the Issuer in the wording adopted by the Meeting of Bond Holders.
At the same time, the Management Board of the Company hereby informs that today it concluded bilateral agreements with all bond holders of B1 and G1 series bonds on changes to the terms and conditions of issue of B1 and G1 series bonds with content analogous to the changes voted by the Meeting of Bond Holders of the F1 series.
As remuneration for changing the terms of issue of the B1 and G1 series, the Issuer shall pay the Bondholders a one-off fee of 0.25% of the total current nominal value for B1 series bonds and 0.50% of the total current nominal value for G1 series bonds.
